1. Agreement to Terms
These Terms of Service ("Terms") form a legally binding agreement between you ("Client," "you," or "your") and REMNS AI ("REMNS AI," "we," "us," or "our"), a business operated from Singapore (UEN: 53517518C).
By accessing or using our website at https://remns.ai (the "Site"), by accepting these Terms at checkout, by signing an engagement letter, order form, quotation, or invoice issued by REMNS AI, or by using our AI-powered services, software, tools, and applications (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Services.
2. Eligibility and Accounts
Minimum Age: You must be at least 18 years of age and authorised to bind your organisation to use the Services.
Account Responsibility: You are responsible for the confidentiality of your account credentials and for all activity under your account. Notify us immediately of any unauthorised use. Account access is granted solely to the individual or organisation that entered into the agreement with REMNS AI. Sharing, transferring, or providing access to your account credentials or platform access to any third party is strictly prohibited and constitutes a material breach of these Terms. REMNS AI reserves the right to terminate your account immediately and without prior notice upon detection of account sharing, without refund of any fees paid.
Accurate Information: You agree to provide accurate, current, and complete information and to keep it updated.
3. Description of Services
REMNS AI provides done-for-you AI automation services for businesses, which may include: AI-powered outbound voice calling and lead engagement ("Amanda" and related agents), WhatsApp and messaging booking automation, appointment scheduling, customer-relationship and workflow automation, and related reporting. The Services are delivered using our own configuration layer together with integrated third-party providers (see our Privacy Policy for the current sub-processor list).
We may modify, suspend, or discontinue any part of the Services at any time. Where a change materially reduces a paid Service, we will give you reasonable notice.
4. Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with these Terms. You are solely responsible for all inputs, instructions, lead lists, scripts, and data you submit ("Your Content"). You agree NOT to:
- Use the Services to contact any person in breach of the PDPA, the Do Not Call (DNC) provisions, the Spam Control Act, or any other applicable law.
- Use the Services for content that is unlawful, harmful, fraudulent, defamatory, harassing, obscene, or that infringes the intellectual property or privacy rights of others.
- Use the Services to create malware or spam, or to access systems without authorisation.
- Reverse engineer, decompile, or extract the source code of the Services or underlying models.
- Overburden or impair our infrastructure, or use unsanctioned automated access.
- Misrepresent AI-generated communications as human where such representation would mislead.
4.1 Script and Content Warranty. Where you provide scripts, talking points, sales messaging, marketing claims, or other call content for use by Amanda or any other Service ("Your Scripts"), you represent and warrant that Your Scripts: (a) do not contain false, misleading, or unsubstantiated claims, including claims regarding investment returns, bonuses, product features, or the nature of any products or services being promoted; (b) comply with all applicable advertising, financial promotion, and conduct rules, including those issued by MAS, PDPC, IMDA, or any other regulatory body where you are a regulated person or where the content falls within a regulated activity; and (c) include any risk disclosures, disclaimers, or mandatory statements required by applicable law or your own regulatory obligations. REMNS AI does not review, verify, or take responsibility for the regulatory compliance or accuracy of Your Scripts. REMNS AI may, at its sole discretion, decline to deploy or request amendment of any script where it has reasonable grounds to believe the script breaches this warranty, without this constituting a breach or non-performance of the Services.
4.2 Scripts Prepared by REMNS AI, and Your Approval. Where REMNS AI prepares, drafts, suggests, or edits any script, opening line or hook, talking point, objection response, or other call content for you, whether based on information you supply or otherwise, it does so purely as a technical drafting and configuration convenience and not as advice of any kind, including legal, regulatory, compliance, financial, or marketing advice. No such draft is deployed or used on any live call until you have approved it in writing, which includes approval by email, by signed order form or service order, or by written message from you or from a person authorised by you or by your organisation to give that approval. Upon your written approval, the approved script is deemed to be Your Script for all purposes under these Terms, including the warranties in Section 4.1 and the indemnity in Section 5.6, as if you had supplied it to us yourself. For approval purposes, "Call Content" means the client-facing opening lines, hooks, claims, figures, disclosures, and substantive objection responses provided in a call-content approval document or annex. It does not include REMNS AI's underlying system prompts, internal instructions, routing logic, safeguards, or technical configuration, which remain confidential intellectual property under Section 10. References to an approved script in these Terms mean the Call Content approved by you, not undisclosed internal instructions or unapproved AI-generated statements. You are solely responsible for reviewing the Call Content provided to you before approving it, for satisfying yourself that every statement, figure, and claim in it is accurate, substantiated, and compliant with applicable law and with your own regulatory and firm compliance obligations, and for obtaining any internal or compliance approval your organisation requires. REMNS AI does not review, verify, or take responsibility for the regulatory compliance or accuracy of any script, whether supplied by you or prepared by REMNS AI and approved by you.
4.3 Client Testing and Acceptance. Before any campaign goes live, you must conduct end-to-end test calls with the configured AI agent, review the Call Content approval document, and notify REMNS AI of any changes required. You must confirm in writing that you have completed testing, approve the identified Call Content, and authorise launch. REMNS AI will not launch the campaign until it has received that confirmation. Testing and acceptance relate to the configuration and Call Content identified in the approval record; they do not constitute approval of every possible AI-generated response or a guarantee that future calls will reproduce the test calls. Nothing in this clause excludes REMNS AI's obligations or liability that cannot lawfully be excluded.
4.4 No Launch Without Approval, and Changes to Live Scripts. REMNS AI does not place live calls using any script that you have not approved in writing. Where you request or approve any change to a live script, including any change to a hook, claim, figure, product reference, or objection response, that change constitutes a fresh approval under Section 4.2, and the warranties in Section 4.1 and the indemnity in Section 5.6 apply to it in the same way. Where REMNS AI proposes a change to a live script, it will not be deployed until you have approved it in writing. REMNS AI keeps a record of the approved Call Content, the testing confirmation, and the date of your approval, and will provide the client-facing approval record on request. This does not require disclosure of REMNS AI's underlying system prompts or internal technical configuration. Where a change materially affects approved Call Content or caller behaviour, the affected content or behaviour must be tested and approved in writing before deployment.
5. Client Lead Responsibility and DNC Compliance
5.1 You Are the Data Controller. All contact lists, lead data, prospect information, and recipient details you supply for use with the Services are owned and controlled by you. Under the PDPA you are the Data Controller (the "Organisation"). REMNS AI acts solely as a Data Intermediary processing that data on your documented instructions.
5.2 Your Warranties. Each time you upload a lead list or instruct REMNS AI to contact any lead, you represent and warrant that:
- (a) Lawful Basis: You have a lawful basis under the PDPA and any other applicable law to contact each recipient.
- (b) Data Accuracy: Contact details are accurate, current, and lawfully obtained.
- (c) Lawful Source: The lead list was lawfully obtained, was not purchased from illegal data brokers, was not scraped in breach of website terms, and was not obtained through deception.
- (d) Foreign Leads: Where a lead is located outside Singapore, you have ensured compliance with that jurisdiction's data protection and marketing laws (including Malaysia PDPA 2010, Hong Kong PDPO, Australia Spam Act, GDPR, and TCPA where relevant).
- (e) B2B Leads: Where leads are submitted as business contact information, they are genuine business contacts in a professional capacity and not personal mobile numbers misclassified as business contacts.
- (f) No Vulnerable Persons or Opt-Outs: Lists do not knowingly include minors, individuals lacking mental capacity, or individuals who have previously asked you to stop contacting them.
- (g) Notice of Opt-Outs: You will tell us within two (2) business days of any request you receive directly from a person asking not to be contacted, so we can stop calls to that person.
5.3 DNC Screening by REMNS AI. Before any Singapore telephone number you supply is called, REMNS AI checks it against the Do Not Call Registry maintained by the PDPC, using REMNS AI's own Registry account. Numbers listed on the Registry are removed and are not called. We rely on a Registry check only within the validity period stated in the Registry result, and we keep the Registry results as records of each check. We do not call numbers listed on the Registry even where you believe an exemption applies, unless we have agreed otherwise in writing and you have given us the records that support the exemption.
5.4 Authorisation to Check on Your Behalf. You authorise REMNS AI to check the DNC Registry on your behalf as your agent, and to list your name, or the name of the organisation you represent, on the On Behalf List of REMNS AI's Registry account for that purpose. You will tell us the correct name to list and notify us promptly if it changes. On request, we will provide you with the Registry results for the numbers you supplied.
5.5 Right to Suspend and Report. If REMNS AI has reasonable grounds to believe a lead list or any script or call content is non-compliant or unlawful, we may suspend or terminate the campaign immediately and, where required by law, report the matter to the PDPC or relevant authority.
5.6 Indemnity (Uncapped Carve-Out). You agree to fully indemnify, defend, and hold harmless REMNS AI and its owner, employees, and agents against any and all regulatory fines (including those levied by the PDPC or MAS), legal costs, damages, claims, and losses arising from any breach of your warranties in this Section 5 or from the content, source, or lawful basis of any lead list you supply, other than a failure by REMNS AI to perform the Registry check described in Section 5.3. This indemnity also extends to any claim, fine, or loss arising from the content of any scripts, talking points, hooks, or call messaging supplied by you, or prepared by REMNS AI and approved by you under Section 4.2, for use in the Services, including any breach of the warranties in Section 4.1. This indemnity is not subject to the liability cap in Section 8.
5.7 Commercial Acknowledgement. You acknowledge that the pricing of the Services reflects this allocation of compliance responsibility to you as the Data Controller and as the party responsible for approving all call content.
5.8 Suppression List. REMNS AI keeps a suppression list of numbers whose owners have asked not to be contacted, or which have been identified as wrong or reassigned numbers. Numbers on it are not called for you. Where a person asks not to be contacted during a call made through the Services, we may withhold that number from all campaigns we run. We keep these numbers only for as long as needed to honour the request.
5.9 Limits of Screening. Our screening relies on the Registry's results and on the information you supply. REMNS AI is not responsible for errors in Registry data, for numbers supplied or called outside the upload process we provide, or for the lawful basis of any contact, which remains your responsibility under Section 5.2.
6. AI Disclosure and Recorded Calls
6.1 AI Identity (Best Practice). REMNS AI recommends that all outbound AI voice calls include an opening disclosure identifying the caller as an AI assistant acting on behalf of the Client. Clients are encouraged to maintain this disclosure in their campaign scripts as a matter of responsible deployment and good business practice. While not currently mandated under Singapore law, this practice aligns with evolving AI governance guidance issued by IMDA and the PDPC.
6.2 Call Recording. Calls may be recorded for quality assurance, compliance, dispute resolution, and service monitoring. Where consent to recording is required under the PDPA, you are responsible for ensuring it is obtained or validly deemed. Recordings are retained and deleted per our Privacy Policy.
6.3 No AI Training on Your Data. REMNS AI does not use your lead data, call recordings, or call transcripts to train, fine-tune, or improve our own AI models or any third-party AI models.
7. MAS-Regulated Clients (Financial Advisers)
Where you are a financial adviser, insurance representative, or other MAS-regulated person, you acknowledge that you remain fully responsible for your conduct obligations under the Financial Advisers Act, the MAS Notice on Appointment and Use of Introducers (FAA-N02), and applicable MAS guidelines on digital prospecting and marketing. REMNS AI acts only as a third-party technology service provider and does not provide financial advice. You are responsible for monitoring our conduct as your service provider and for ensuring all communications, including any scripts or call content you provide to REMNS AI, meet your regulatory standards. REMNS AI does not review scripts for MAS compliance and makes no representation that any script or call content you supply is compliant with your regulatory obligations.
This applies equally to any script or call content prepared by REMNS AI at your request and approved by you under Section 4.2. REMNS AI does not review any script for MAS compliance, whoever drafted it, and your written approval of a script is your confirmation that it meets your own regulatory and firm compliance standards.
8. Disclaimers and Limitation of Liability
"As Is" Service. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
AI-Specific. AI OUTPUT MAY BE INACCURATE, INCOMPLETE, OR UNSUITABLE. YOU ARE SOLELY RESPONSIBLE FOR EVALUATING AND VERIFYING OUTPUT BEFORE RELYING ON IT. THE SERVICES ARE NOT A SUBSTITUTE FOR LEGAL, MEDICAL, FINANCIAL, OR OTHER PROFESSIONAL ADVICE.
Limitation. TO THE MAXIMUM EXTENT PERMITTED BY SINGAPORE LAW, REMNS AI AND ITS OWNER, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL CUMULATIVE LIABILITY FOR ANY DIRECT DAMAGES SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. NOTHING IN THIS SECTION LIMITS YOUR INDEMNITY OBLIGATIONS IN SECTION 5.
9. Payment Terms and Refunds
Fees. You agree to pay all fees for your selected plan, including setup fees, monthly retainers, and per-appointment or usage fees where applicable. Fees are non-refundable except as expressly stated.
Billing. Recurring fees are billed in advance via Stripe, PayNow, or bank transfer (FAST). Per-appointment fees are billed together with the monthly retainer. Where you have provided a payment method, you authorise us to charge it.
Late Payment. Overdue amounts accrue interest at 1.5% per month after fourteen (14) days. If any amount, including per-appointment fees, remains unpaid fourteen (14) days after its due date, we may suspend or terminate the Services immediately and without further notice, without refund of any fees already paid.
Pausing Your Service (Hold Fee). You may ask us in writing to pause your calling service. While your service is paused, no calls are made, but we keep your calling number, AI agent configuration, campaigns, and data so you can resume without a new setup. During the pause, your monthly retainer is replaced by a hold fee of S$50 per month, billed in advance from the start of the next billing cycle after your request. Unused minutes do not carry over. The hold fee is non-refundable. To resume, tell us in writing; your standard monthly retainer applies again from the start of the billing cycle in which calling resumes. If the hold fee is not paid when due, the Late Payment terms above apply and we may close your account under Section 11. Where your engagement began before this hold fee was introduced, it applies to you only after we have given you thirty (30) days' written notice of it.
No Refunds. Except under the Setup Fee Guarantee below, all sales are final. Fees for Services that were made available to you are non-refundable, including for partial billing cycles or unused time, provided the Service was functionally delivered as described.
Setup Fee Guarantee (90 Days). If no appointment is booked for you through the Services within the first ninety (90) days after your first live calling day, we will refund the setup fee you paid, provided that: (a) at least one thousand five hundred (1,500) of your leads were called during that period, not counting numbers removed by the DNC Registry check or our suppression list under Section 5; (b) you approved your script, and any changes we asked you to approve, within five (5) business days of our request, and kept appointment slots available in your calendar throughout the period; (c) all amounts due under these Terms were paid on time; and (d) you ask us for the refund in writing within seven (7) days after the ninetieth (90th) day. An appointment means a meeting time agreed by a lead on a recorded call made through the Services, whether or not the lead attends. Only the setup fee is refunded; monthly fees, per-appointment fees, and other charges are not. The guarantee applies once per client, only to engagements that begin on or after the date this clause is published, and does not apply if the Services are terminated before the ninetieth (90th) day.
Taxes. You are responsible for applicable taxes, duties, and levies.
10. Intellectual Property
Our IP. The Services, software, interfaces, agent configurations, prompt libraries, and our brand are our exclusive property or that of our licensors. We grant you a limited, revocable, non-exclusive, non-transferable licence to use the Services.
Your Content. You retain ownership of Your Content. You grant us a non-exclusive, royalty-free licence to host and process Your Content solely to deliver and support the Services for you. We do not use Your Content to train AI models (see Section 6.3).
Output. Subject to your compliance and full payment, rights in the output generated for you belong to you. You are responsible for reviewing output for accuracy and suitability.
11. Termination
By You. You may cancel on thirty (30) days' written notice, subject to the no-refund policy in Section 9. If you would rather keep your account without calls, you may pause it instead under Section 9.
By Us. We may suspend or terminate access immediately if you breach these Terms. A breach of the DNC, PDPA, or lead warranty obligations in Section 5, or of the script warranty, approval, testing, or acceptance obligations in Sections 4.1 to 4.4, or a failure to pay any amount when due under Section 9 (including per-appointment fees), is a material breach permitting immediate termination without refund.
Effect of Termination. When your account is terminated for any reason, including non-payment: (a) all campaigns stop and your access to the Services, including the client portal, ends; (b) the calling number assigned to you is released and cannot be recovered or transferred to you, as calling numbers are provided by REMNS AI and remain ours; (c) your AI agent configuration and campaigns are deleted, and they remain our intellectual property under Section 10; (d) if you ask in writing within thirty (30) days of termination, we will give you an export of your lead list and call outcomes, after which your lead and campaign data are deleted in line with our Privacy Policy; (e) all unpaid amounts become immediately due and remain payable; and (f) restarting the Services after termination requires a new setup, for which we may charge a reactivation fee that we will quote to you before restarting.
12. Confidentiality
Each party agrees to keep the other's confidential information strictly confidential and not to disclose it to any third party without prior written consent, except as required by law. Confidential information includes, without limitation: pricing, technical specifications, AI agent configurations, prompt libraries, client lists, campaign data, business operations, and any proprietary processes or methodologies.
This obligation survives termination of the agreement for a period of three (3) years.
13. Governing Law and Disputes
These Terms are governed by the laws of the Republic of Singapore. Any dispute shall first be referred to mediation at the Singapore Mediation Centre. If unresolved within sixty (60) days, it shall be referred to and finally resolved by the courts of Singapore, to whose exclusive jurisdiction you submit.
14. General
Entire Agreement. These Terms, together with any signed engagement letter, order form, quotation, or invoice, are the entire agreement between us. Where a signed engagement letter, order form, quotation, or invoice conflicts with these Terms, that signed document prevails.
Severability. If any provision is invalid, the rest remains in force.
Changes. We may modify these Terms by posting the updated version and revising the "Last Updated" date. Continued use after changes constitutes acceptance.
No Waiver. Failure to enforce a right is not a waiver of it.
